End User License Agreement

1. Agreement and Operator

This End User License Agreement ("Agreement") governs your access to and use of uMeetMe ("uMeetMe," the "Service").

uMeetMe is operated by Typhon Enterprises LLC ("Typhon Enterprises," "we," "us," or "our").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to this Agreement and the uMeetMe Usage Policy.

2. Eligibility

You must be at least 18 years old to create an account or use uMeetMe.

By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement.

uMeetMe is not intended for use by persons under the age of 18.

3. Accounts

Certain features of uMeetMe require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account.

You agree to provide accurate information when creating and maintaining your account and to keep your account information reasonably current.

You may not impersonate another person or entity, misrepresent your identity or affiliation, or use your account in a manner intended to deceive other users.

4. License to Use uMeetMe

Subject to your compliance with this Agreement and the Usage Policy, Typhon Enterprises LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use uMeetMe for its intended purposes.

This license does not transfer ownership of uMeetMe, its software, branding, interfaces, content, or other intellectual property to you.

5. Video and Audio Communications

uMeetMe provides functionality that allows users and invited participants to communicate using live video and audio.

When you enable your camera or microphone, video or audio from your device may be transmitted to other participants through the Service.

You are responsible for your conduct, communications, surroundings, and content while participating in a meeting.

You should not share confidential, sensitive, or private information during a meeting unless you are comfortable sharing that information with the other participant and through the Service.

6. Meeting Invitations and Guests

uMeetMe may allow an account holder to create a private meeting and provide an invitation link to another person.

Meeting hosts are responsible for controlling distribution of their invitation links and for determining whom they choose to admit to a meeting.

You may not knowingly distribute a meeting invitation in a manner intended to facilitate unauthorized access, abuse, harassment, or other prohibited activity.

7. Administrative Oversight

uMeetMe includes operational oversight capabilities that may be used for service administration, security, abuse prevention, troubleshooting, and maintaining the reliability and integrity of the Service.

As part of these activities, authorized personnel may have access to certain information or content associated with active meetings through designated administrative and operational tools.

By using uMeetMe, you acknowledge that authorized administrative oversight may occur as part of operation and protection of the Service, subject to applicable law and our privacy practices.

8. Acceptable Use

You agree to use uMeetMe only for lawful purposes and in accordance with this Agreement and the Usage Policy.

You may not use the Service to harass, threaten, exploit, defraud, impersonate, harm, or violate the rights of another person, or to engage in unlawful activity.

The Usage Policy contains additional rules governing prohibited and restricted uses of the Service and is incorporated into this Agreement by reference.

9. Service Availability

We may modify, maintain, update, suspend, or discontinue all or part of the Service at any time.

We do not guarantee that uMeetMe will always be available, uninterrupted, secure, or error-free. Availability may be affected by maintenance, network conditions, third-party infrastructure, equipment failures, security events, or other circumstances.

10. Account Suspension and Termination

We may suspend, restrict, or terminate access to uMeetMe when reasonably necessary to protect the Service, its users, or others; investigate suspected abuse or security incidents; comply with legal obligations; or address violations of this Agreement or the Usage Policy.

You may stop using the Service at any time.

11. Intellectual Property

uMeetMe and its associated software, interfaces, graphics, branding, logos, and other proprietary materials are owned by Typhon Enterprises LLC or its licensors and are protected by applicable intellectual property laws.

Except for the limited license expressly granted in this Agreement, no rights are granted to you in the Service or its intellectual property.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UMEETME IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TYPHON ENTERPRISES LLC DISCLAIMS IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TYPHON ENTERPRISES LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

Some jurisdictions do not allow certain exclusions or limitations of liability. In such jurisdictions, these limitations apply only to the extent permitted by applicable law.

14. Third-Party Services

uMeetMe may rely on third-party infrastructure, hosting, communications, email, networking, or other service providers.

We are not responsible for interruptions or failures caused solely by third-party services outside our reasonable control.

15. Changes to this Agreement

We may update this Agreement from time to time. When changes are material, we may provide notice or require renewed acceptance as appropriate.

The effective date and version displayed at the top of this page identify the version currently presented by uMeetMe.

16. Governing Law

This Agreement is governed by the laws of the State of New Mexico, United States, without regard to its conflict-of-law principles, except to the extent applicable law requires otherwise.

17. Severability

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

18. Entire Agreement

This Agreement, together with the Usage Policy and any other terms expressly incorporated by reference, constitutes the agreement between you and Typhon Enterprises LLC regarding your use of uMeetMe, except where another written agreement expressly applies.
